OVERVIEW

Welcome to BioPads. These Terms of Service (the "Terms") govern your access to and use of https://shopbiopads.com/ and the related online store, content, features, products, and services offered by BioPads (collectively, the "Services"). The terms "BioPads," "we," "us," and "our" refer to the operator of the BioPads store.

Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

By visiting, browsing, interacting with, or purchasing through the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Nothing in these Terms limits or excludes any rights or remedies that cannot lawfully be limited or excluded under applicable consumer-protection law.

SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS

You must be at least the age of majority in your province, state, territory, or country of residence to make a purchase through the Services. If you permit a minor dependent to use the Services on a device you own or control, you are responsible for that use.

You may be asked to provide information such as your name, email address, billing information, payment information, and shipping details. You represent that the information you provide is accurate, current, complete, and that you have the right to provide it.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.

We may restrict or suspend access to the Services where reasonably necessary to protect the Services, our customers, or our legal rights.

SECTION 2 - PRODUCTS AND PRODUCT INFORMATION

BioPads sells reusable bamboo-fibre makeup-remover pads and related personal-care products. Unless a product page expressly states otherwise, the products are intended for external cosmetic use only.

We make reasonable efforts to display and describe products accurately. However, colours may appear differently depending on your screen, device settings, lighting, and other factors. Minor variations in colour, texture, dimensions, or stitching may occur in textile products and are not necessarily defects.

Product descriptions, prices, promotions, and availability may be changed without notice before an order is accepted. We may discontinue a product or limit quantities available to a customer, household, geographic area, or jurisdiction where reasonably necessary.

Product images are provided for illustration. The product you receive should substantially correspond to its description, subject to reasonable manufacturing and display variations.

SECTION 3 - PRODUCT CARE AND USE

Follow the care, washing, and use instructions shown on the product page or packaging. Products should not be used for any purpose inconsistent with those instructions.

Discontinue use if irritation or an adverse reaction occurs. Information on the Services is general product information and is not medical advice. BioPads does not claim that its products diagnose, treat, cure, or prevent any medical condition.

SECTION 4 - ORDERS

Submitting an order is an offer to purchase. An automated order acknowledgement does not necessarily mean that we have accepted your order. An order is accepted when we send an acceptance or fulfilment confirmation or dispatch the order, whichever occurs first.

We may decline or cancel an order before acceptance for legitimate reasons, including product unavailability, payment failure, suspected fraud, an obvious pricing or listing error, shipping restrictions, or inability to fulfil the order. If we cancel an order after payment has been collected, we will refund the cancelled amount to the original payment method.

Review your order, contact information, and shipping address carefully before submitting it. We cannot guarantee that changes or cancellations can be made after an order has entered fulfilment.

Products purchased through the Services are intended for personal or household use unless we approve a wholesale or commercial arrangement in writing. You may not purchase products for unauthorized resale or export.

SECTION 5 - PRICES, CURRENCY, TAXES, AND PAYMENT

Prices may be displayed in Canadian dollars, United States dollars, British pounds, or another currency based on the country or region selected on the Services. The currency and final amount charged will be shown during checkout.

Prices, discounts, and promotions may change without notice, but a price will not be changed after an order has been accepted, except where correction is required by law or you agree to an order change.

Unless checkout states otherwise, product prices may not include applicable sales taxes, duties, customs charges, or other government-imposed fees. Any charges payable to BioPads will be shown at checkout. You are responsible for import duties or taxes imposed by the destination jurisdiction unless checkout expressly states that they are included.

You agree to provide accurate and complete billing and payment information. You represent that you are authorized to use the payment method submitted and authorize us and our payment providers to charge the amount shown at checkout.

Promotions may have separate conditions. If promotion-specific conditions conflict with these Terms, the promotion-specific conditions govern that promotion.

SECTION 6 - SHIPPING AND DELIVERY

BioPads currently advertises free standard shipping on orders placed through the Services, subject to any exclusions or changes clearly disclosed before checkout.

Orders are generally prepared for dispatch within the timeframe stated on the Services. Delivery dates and transit times are estimates, not guarantees. Delays may occur because of carriers, customs, weather, peak demand, incorrect addresses, or events outside our reasonable control.

Some orders may ship directly from an overseas production or fulfilment partner. Current estimated delivery times and any available tracking information will be provided through the Services or order communications.

You are responsible for providing a complete and accurate delivery address. Contact us promptly if you notice an error. We cannot guarantee that an address can be changed after fulfilment begins.

If an order is lost, materially delayed, damaged, incomplete, or incorrectly fulfilled, contact us at sales@shopbiopads.com with your order number. We will provide an appropriate remedy in accordance with our policies and applicable law.

Risk of loss passes to you only when the order is delivered to you or a person you designate, except where applicable law provides otherwise. This provision does not apply where a customer independently arranges a carrier that we did not offer.

SECTION 7 - RETURNS, REFUNDS, AND ORDER PROBLEMS

Returns and refunds are governed by our Refund Policy at https://shopbiopads.com/policies/refund-policy, which forms part of these Terms.

BioPads offers a 30-day money-back guarantee as described in the Refund Policy. The eligibility period begins on delivery unless the Refund Policy or applicable law provides a longer period.

Because the products are personal-care items, we may ask that change-of-mind returns be unused and, where reasonably possible, in their original packaging. This does not limit remedies for defective, damaged, misdescribed, wrong, or missing products, and does not limit mandatory consumer rights.

Do not send a return before receiving instructions from us. If an item is defective, damaged, incorrect, or not as described, BioPads will provide an appropriate remedy and cover required return costs where applicable. For an eligible change-of-mind return, the customer may be responsible for return postage as stated in the Refund Policy.

Approved refunds are issued to the original payment method. Financial institutions may require additional processing time after a refund is issued.

SECTION 8 - INTELLECTUAL PROPERTY

The Services and their content, including the BioPads name, logos, product names, text, graphics, photographs, videos, designs, and arrangement, are owned by or licensed to BioPads and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal and non-commercial purposes. You may not reproduce, distribute, modify, publicly display, republish, sell, exploit, or create derivative works from material on the Services without prior written permission, except as permitted by law.

Shopify's names, trademarks, and technology belong to Shopify or its licensors. Other names and trademarks displayed through the Services belong to their respective owners. No licence to use any trademark is granted except as expressly stated.

SECTION 9 - THIRD-PARTY SERVICES AND OPTIONAL TOOLS

The Services may provide access to third-party tools, payment processors, applications, embedded functions, or other services. Your use of third-party services may be subject to the third party's terms and privacy notice.

To the extent permitted by law, optional third-party services are made available without our control over their continued availability, operation, or content. Review the applicable third-party terms before using them.

We may introduce new features, resources, or tools. Unless separate terms are provided, they form part of the Services and are governed by these Terms.

SECTION 10 - THIRD-PARTY LINKS

The Services may link to websites or content operated by third parties. A link does not imply that BioPads endorses or controls the third party.

We are not responsible for third-party content, products, services, privacy practices, or transactions. Review the third party's policies before providing information or completing a transaction. Concerns about a third-party product or service should ordinarily be directed to that provider.

SECTION 11 - RELATIONSHIP WITH SHOPIFY

BioPads uses Shopify's ecommerce platform to provide the Services. Purchases made from the BioPads store are transactions between you and BioPads, not between you and Shopify.

To the extent permitted by law, Shopify is not responsible for BioPads products, order fulfilment, customer service, refunds, or disputes arising from purchases from BioPads. Nothing in this section limits any responsibility Shopify may have that cannot lawfully be excluded.

SECTION 12 - PRIVACY

Our collection, use, processing, and disclosure of personal information are governed by the BioPads Privacy Policy at https://shopbiopads.com/policies/privacy-policy.

Because Shopify hosts the Services, Shopify and service providers involved in payments, analytics, fulfilment, shipping, fraud prevention, advertising, and customer support may process information as described in the Privacy Policy and their own privacy notices.

SECTION 13 - REVIEWS, FEEDBACK, AND USER CONTENT

If you submit a review, photograph, comment, suggestion, idea, or other content (collectively, "User Content"), you retain any ownership rights you have in that content. You grant BioPads a worldwide, non-exclusive, royalty-free, sublicensable licence to host, reproduce, adapt, publish, display, distribute, and use the User Content for operating, improving, and promoting the Services, subject to applicable privacy and advertising laws.

You represent that you own or have permission to submit the User Content, that it is accurate to the best of your knowledge, and that you have disclosed any material incentive or compensation connected to a review or endorsement.

User Content must not be unlawful, deceptive, defamatory, abusive, obscene, malicious, infringing, or harmful, and must not contain malware or another person's confidential information. You may not impersonate another person or misrepresent the source of User Content.

We may moderate or remove User Content where we reasonably believe it violates these Terms or applicable law. We are not required to publish, retain, compensate, or respond to submitted User Content.

SECTION 14 - ERRORS AND CORRECTIONS

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to descriptions, prices, promotions, shipping charges, delivery estimates, or availability.

We may correct errors and update information before accepting an order. If a material error affects an order after submission, we may contact you for instructions or cancel and refund the affected order. Nothing in this section permits us to avoid obligations imposed by consumer-protection law.

SECTION 15 - PROHIBITED USES

You may use the Services only for lawful purposes. You must not:

(a) violate any applicable law or another person's rights;
(b) infringe intellectual-property, privacy, publicity, or other rights;
(c) submit fraudulent, false, misleading, defamatory, abusive, or unlawful material;
(d) transmit malware or code intended to damage, disrupt, monitor, or gain unauthorized access to systems or data;
(e) attempt to bypass authentication, access controls, rate limits, robot exclusions, or security measures;
(f) interfere with the operation or security of the Services;
(g) collect personal information about others without a lawful basis;
(h) send spam, phishing messages, chain letters, or unauthorized solicitations;
(i) impersonate another person or misrepresent your identity or affiliation;
(j) scrape, crawl, extract, or access the Services through automated means in a manner that places an unreasonable burden on the Services, evades technical restrictions, or violates applicable law; or
(k) reproduce, resell, or commercially exploit the Services or their content without permission.

We may investigate suspected violations and restrict or terminate access where reasonably necessary. Lawful use of generally available browser, search-engine, accessibility, or shopping-assistant functionality is not prohibited solely because it is automated, provided it complies with these Terms and our technical controls.

SECTION 16 - SUSPENSION AND TERMINATION

You may stop using the Services at any time. We may suspend or terminate your access if you materially violate these Terms, misuse the Services, engage in suspected fraud, or create a security or legal risk.

Termination does not affect rights, obligations, payments, or liabilities that arose before termination. Provisions that by their nature should survive termination remain effective, including those concerning intellectual property, User Content licences, disclaimers, liability, indemnification, and dispute terms.

SECTION 17 - DISCLAIMERS

We make reasonable efforts to keep the Services available and information accurate, but do not guarantee uninterrupted, secure, or error-free operation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM WARRANTIES OR CONDITIONS NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT.

THIS DISCLAIMER DOES NOT EXCLUDE OR LIMIT ANY WARRANTY, CONDITION, GUARANTEE, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. PRODUCTS REMAIN SUBJECT TO EXPRESS PROMISES MADE ON THE SERVICES AND TO APPLICABLE CONSUMER-PROTECTION LAW.

SECTION 18 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOPADS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS ARISING FROM THE SERVICES OR A PRODUCT, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, WHERE SUCH LOSS WAS NOT REASONABLY FORESEEABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOPADS' TOTAL LIABILITY ARISING FROM A PARTICULAR ORDER WILL NOT EXCEED THE AMOUNT PAID FOR THAT ORDER.

THESE LIMITATIONS DO NOT APPLY TO FRAUD, WILFUL MISCONDUCT, GROSS NEGLIGENCE WHERE IT CANNOT BE LIMITED, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE LIABILITY CANNOT BE EXCLUDED, BREACH OF CONFIDENTIALITY, OR ANY LIABILITY OR CONSUMER REMEDY THAT APPLICABLE LAW DOES NOT ALLOW US TO LIMIT OR EXCLUDE.

SECTION 19 - INDEMNIFICATION

To the extent permitted by law, you agree to indemnify BioPads and its affiliates, officers, employees, contractors, and service providers against third-party claims, losses, and reasonable costs arising directly from your unlawful use of the Services, your material breach of these Terms, or your infringement of a third party's rights.

This obligation does not apply to the extent a claim results from BioPads' own negligence, misconduct, breach, or violation of law. We will provide reasonable notice of an indemnified claim and allow reasonable participation in its defence.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted or modified to the minimum extent necessary to make it enforceable. If that is not possible, the affected provision will be severed. The remaining provisions will continue in effect.

SECTION 21 - WAIVER AND ENTIRE AGREEMENT

A failure or delay in enforcing a provision is not a waiver of that provision or any other right.

These Terms and the policies incorporated by reference constitute the entire agreement between you and BioPads concerning the Services, except for any additional terms expressly agreed to in writing or rights imposed by law.

SECTION 22 - ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganization, sale of assets, financing, or transfer of the BioPads business, provided the assignment does not reduce mandatory consumer rights. Any other assignment by us will be made in accordance with applicable law.

SECTION 23 - GOVERNING LAW AND DISPUTES

These Terms and disputes relating to the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any mandatory right you have to bring a claim elsewhere, the courts located in Ontario, Canada will have non-exclusive jurisdiction over disputes relating to these Terms or the Services.

If you are a consumer, you continue to benefit from mandatory protections provided by the law of your country, province, state, or territory of residence. Nothing in these Terms deprives you of a right to bring a claim in a forum available to you under applicable consumer law.

Before commencing formal proceedings, you and BioPads are encouraged to attempt to resolve the dispute by contacting the other party and allowing a reasonable opportunity to respond. This does not affect limitation periods or any right to seek urgent relief.

SECTION 24 - CHANGES TO THESE TERMS

We may update these Terms to reflect changes to the Services, business practices, or legal requirements. The current version will be posted on this page with its effective or last-updated date.

Material changes will apply prospectively and notice will be provided where required by law. Changes will not retroactively reduce rights relating to an order already accepted unless permitted by law and agreed to where required.
